Project & Structured Finance Accounts

Banking Architecture for Complex Projects and Financing Structures

International Finance Bank provides dedicated Project & Structured Finance Accounts for qualifying infrastructure, energy, natural-resource, real-estate, agricultural, industrial and other capital-intensive projects.

Rather than treating each component of a financing structure as an unrelated banking product, the Bank can establish an integrated account architecture reflecting the contractual cash-flow structure of the underlying transaction.

Applications

Project & Structured Finance Accounts may support:

  • Infrastructure projects
  • Mining and natural-resource projects
  • Oil and gas projects
  • Power generation and energy projects
  • Renewable-energy projects
  • Agricultural and food-production projects
  • Real-estate development
  • Industrial projects
  • Public-private partnerships
  • Concessions
  • Acquisition finance
  • Asset-backed financing
  • Private credit transactions
  • Bond and note structures
  • Securitisation and other structured-finance transactions

Integrated Account Architecture

Depending upon the financing documentation and requirements of the parties, a project banking structure may include one or more of the following:

Project Operating Account
For ordinary project operating receipts and expenditure.

Capital Expenditure Account
For controlled deployment of construction, development or acquisition capital.

Revenue Collection Account
For receipt and consolidation of project revenues.

Waterfall Account
For allocation of available cash according to a contractually agreed payment priority.

Debt Service Account
For scheduled interest, principal and other financing obligations.

Debt Service Reserve Account - DSRA
For maintaining contractually required debt-service liquidity reserves.

Reserve or Sinking Fund Accounts
For maintenance, capital expenditure, redemption or other designated future obligations.

Security or Collateral Account
For cash or other eligible financial assets subject to documented security or control arrangements.

Issuance Proceeds Account
For proceeds arising from bonds, notes, private placements or other qualifying financing instruments.

Distribution Account
For authorised payments to investors, shareholders, creditors or other entitled parties.

Not every project requires every account. The architecture is established according to the legal documentation, financing model and operational requirements of the transaction.

Cash-Flow Waterfalls

For appropriate transactions, project revenues can be allocated through a documented payment waterfall.

A typical structure may provide for:

Gross Project Revenue
 → Taxes and Statutory Payments
 → Operating Expenditure
 → Senior Debt Service
 → Reserve Replenishment
 → Subordinated Obligations
 → Investor or Shareholder Distributions

The actual priority of payments is determined exclusively by the governing transaction documentation.

Capital Markets and Issuance Structures

Project & Structured Finance Accounts may also support qualifying bond, note, private-placement and asset-backed financing transactions.

Accounts can be configured for receipt of issuance proceeds, permitted deployment of funds, debt service, reserves, redemptions and investor distributions.

Any issuance, placement, underwriting, investment or securities activity remains subject to applicable regulatory requirements, transaction approval and the Bank’s relevant service capabilities.

Asset and Project Verification

The existence of an asset or asserted valuation does not by itself establish bankability.

Before accepting a material project or structured-finance relationship, International Finance Bank may require verification of:

  • Legal ownership or enforceable economic rights
  • Licences and concessions
  • Corporate and SPV structures
  • Governmental approvals
  • Independent valuations
  • Technical and feasibility reports
  • Financial models
  • Project revenues and cash-flow assumptions
  • Existing indebtedness and encumbrances
  • Security arrangements
  • Source and use of funds
  • Sponsors, investors and ultimate beneficial owners

One Project - One Coherent Banking Architecture

The objective is not to multiply accounts unnecessarily. It is to establish the accounts required to provide appropriate financial control, transparency and transaction execution throughout the project’s lifecycle.
